Terms and Conditions

1. General

These Terms and Conditions ("Terms") govern the sale of products by TIN CHUNG STUDIO wholesale ("Seller") to the business entity ("Buyer") placing an order. By placing an order, you confirm that you are purchasing for business, resale, or commercial use, and not as a consumer.

2. Account Registration & Verification

To view wholesale pricing and place orders, the Buyer may be required to register an account. We reserve the right to request proof of business (e.g., VAT number, Trade License) before approving an account.

3. Orders and Minimums

• MOQ: All orders are subject to a Minimum Order Quantity (MOQ) or Minimum Order Value as specified on the product details.
• Acceptance: An order is only considered accepted when the Buyer receives an Order Confirmation email from the Seller.

4. Pricing and Payment

• Currency: All prices are listed in [Euros (€) / USD ($)].
• VAT/Tax: Prices are exclusive of VAT. For intra-community supplies within the EU, VAT-exempt invoicing is available for Buyers with a valid VIES-registered VAT number.
• Payment: Payment must be made in full before shipment unless Net-30 terms have been explicitly agreed upon in writing.

5. Shipping and Delivery

• Incoterms: Unless otherwise agreed, terms are DAP (Delivered at Place).
• Timeline: Estimated shipping times are provided for convenience only. We are not liable for delays caused by customs, carriers, or force majeure events.
• Inspection: The Buyer must inspect the goods immediately upon delivery. Any visible damage to the packaging must be noted on the carrier's delivery receipt.

6. Returns and Defects (Important)

• No "Change of Mind": As a wholesale supplier, we do not accept returns for non-defective goods due to change of mind or unsold inventory.
• Defects: If products are received damaged or defective, the Buyer must notify us within 5 business days of receipt with photographic evidence.
• Remedy: We will, at our discretion, replace the defective items, issue a credit note, or provide a refund.

7. Product Descriptions

We strive to display the colors and textures of our Luggage, Furniture, and Curtains as accurately as possible. However, slight variations may occur due to manufacturing batches or monitor settings.

8. Limitation of Liability
